SonicStrategy secured $40 million in convertible financing from Sonic Labs, the foundation behind the namesake blockchain.

The operation is structured through a six-month zero-coupon promissory note denominated in S tokens, which may be converted into common stock at $4.50 per share if the company succeeds in moving its listing to Nasdaq or another U.S. exchange and, at the same time, raises at least $40 million in external capital.

The agreement establishes that the shares resulting from the conversion will remain locked for three years, while the S tokens contributed by Sonic Labs will be locked for four. Both measures aim to ensure stability in the financing process and limit short-term selling pressure. The transaction is scheduled to close within five business days under Canadian exchange regulations.
