Less Narrative, More Code: The Real State of Real-World Asset Tokenization

Less than five years ago, the idea that bonds, real estate, intellectual property rights or even future income streams could be represented as tokens on a blockchain sounded like an exercise in financial science fiction. It was an attractive concept for innovation labs and consultancy roundtables, but few took it as a vector of real operational change. Today that perception has shifted. Without fanfare, without messianic headlines, the tokenization of assets is moving from theory to a set of rails that are being laid beneath the great flows of capital.

I am not talking about a disruptive explosion that will render the financial system obsolete overnight. The phenomenon is quieter and, perhaps for that reason, more solid: it is a gradual redesign of the mechanisms for issuance, custody, settlement and transfer of value.Ā 

What has changed is not the promise, but the substrate on which it rests. The infrastructures are already operational, legal frameworks are beginning to offer certainty, and participants are moving past proofs of concept into transactions with full legal effect.

For years, the discourse around tokenization was dominated by a promise of universal liquidity and radical disintermediation. It was said that anyone could buy a fraction of a building in Manhattan or a corporate bond as easily as purchasing an e-book. That vision has not materialized in the grand terms that were once laid out, and there are good reasons for that.Ā 

The legal and operational world of real assets contains layers of complexity that do not vanish simply because a smart contract is used. What is happening, however, is a recomposition of the financial back office, where settlement times, the immobilization of collateral and reconciliation costs represent frictions that run into the millions.

The silent turning point has arrived through entities that have no need to make noise. It is enough to observe how several of the world’s largest asset managers have begun issuing tokenized money market fund shares, not as an isolated experiment but as operational vehicles attracting hundreds of millions of dollars.Ā 

Investment banks with decades of history are settling repo transactions on distributed ledgers, and insurers or pension funds are exploring the mobilization of tokenized collateral to optimize their margin requirements. These are not laboratory pilots; they are transactions with real value, identified counterparties and regulatory oversight.

This traction would not have been possible without a change in the most prosaic layer of the system: the technical rails. During the early years of the blockchain fever, the expectation was that public chains unprepared for the demands of regulatory compliance, confidentiality and governance would shoulder the entire load.

Centrifuge argues tokenization is only the first layer, and that institutional assets need vault infrastructure for subscriptions, redemptions, pricing, and access controls for institutions.

Now networks designed specifically for capital markets have emerged, some with architectures that segment information so that only authorized parties can see the details of a transaction, while the ownership records maintain immutable traceability. These environments allow transfer rules to be applied at the level of the digital asset itself, embedding identity verification requirements, permitted jurisdictions or holding limits. It is not technological magic; it is an adaptation of legal constraints into a programmable wrapper.

Another pillar that has pushed the boundary from theory to practice is the progressive densification of regulation. The European Union launched a pilot regime for market infrastructures based on distributed ledger technology, which permits, on a temporary but real basis, the operation of tokenized trading and settlement systems within a supervised perimeter. Switzerland reformed its Code of Obligations to give legal standing to securities represented on distributed electronic registers.

Singapore, Hong Kong and the United Arab Emirates have been shaping frameworks that define what an investment token is, what obligations the issuer has, and how custody is structured. Even in jurisdictions where clarity does not come through legislation, regulators are opening paths through specific licenses, limited exemptions or interpretative statements.Ā 

What is gained from this process?

It is worth breaking down the benefits without resorting to hyperbole. The first is the possibility of fractionalizing assets that have traditionally been indivisible or of restricted access. A commercial property, a work of art, a private equity fund can be divided into minimal digital units, lowering the investment threshold and allowing the construction of more diversified portfolios. This does not mean that any person will trade in hundredths of a Picasso, but rather that qualified and retail investors can adjust their exposure with much greater precision than before.Ā 

The second relevant effect is collateral mobility. In today’s markets, moving collateral from one jurisdiction to another, or from one intermediary to another, can take days and requires intensive administrative coordination. A token that encapsulates a property right over a government bond and can be transferred atomically against a payment in digital money shortens that timeframe to minutes, with the consequent freeing up of capital and the reduction of counterparty risk. The third element is the automation of regulatory obligations.Ā 

Tokens can be programmed so that each transfer automatically verifies whether the receiver is authorized, whether a concentration limit has been exceeded, or whether a portion of the amount must be withheld for tax purposes. This does not eliminate the regulator or the compliance officer, but it shifts a good part of ex post controls to an ex ante plane, reducing operational errors and the costs of retrospective supervision.

Nevertheless, affirming that the tokenization of everything is no longer a theory is not the same as proclaiming an early victory. The road ahead is long and strewn with technical and legal questions that remain unresolved. One of the main sources of friction is interoperability. Multiple networks and standards for real-world asset tokens exist, and an investor who acquires a tokenized security on one platform generally cannot take it to another without going through bridging, conversion or re-creation processes.Ā 

The sector has made progress in formulating common standards — frameworks for permissioned tokens, principles of decentralized identity and asset taxonomies — but it still resembles a phase of multiple dialects in search of a common language that has not yet crystallized. Without interoperability, the fragmentation of liquidity that was meant to be remedied can reappear in the new digital environment, only with a more modern wrapping.

The second challenge is the disconnect between the ledger reality and the ultimate legal reality. That a distributed ledger reflects the transfer of a tokenized property does not mean that the corresponding land registry has been updated, nor that a court will recognize that entry as a valid title in the event of a dispute.Ā 

Legal bridges are needed that link the on-chain event with the registrable act in the official registry, and that requires human intervention, public faith and, in many countries, legal reforms that cannot be improvised. In the meantime, tokenization functions as a layer of contractual representation that coexists with traditional entries but does not replace them. It is an advance in efficiency, yes, but not a refoundation of property law.

A third risk that deserves attention is concentration

If large-scale asset tokenization ends up resting on a handful of private or semi-permissioned networks governed by consortia of large financial institutions, one form of intermediation will have been exchanged for another. Market access, fee setting and the evolution of protocols would remain in the hands of a few players who, even operating under supervision, can replicate oligopolistic. The promise of open disintermediation and competition in cost reduction needs, in order to materialize, open standards and supervision that watches precisely for structural bottlenecks.

Seen in perspective, what we are witnessing is not a cataclysm, but an assimilation. Traditional finance is incorporating tokenization technology as an efficiency layer in its back-office processes, and only gradually will that rationalization become visible to the end client.

Most people will not notice that their investment fund is issued in token form; perhaps they will simply observe that subscriptions and redemptions are slightly faster, that information on portfolio composition arrives with greater immediacy, or that certain assets once inaccessible now appear on their investment platform with a lower minimum amount. That drip of incremental improvements, devoid of epic narrative, is the true signal that theory has given way to engineering.

The tokenization of everything does not imply that we will wake up tomorrow in a world where every asset has a digital twin and where intermediation has disappeared. It implies, rather, a horizon of decades in which the different types of assets will be incorporated according to their legal complexity, their transaction volumes and the willingness of regulators to provide legal coverage to those vehicles.

The most liquid and standardized assets — sovereign bonds, exchange-traded funds, precious metals — are in the lead. Others, such as direct real estate or intellectual property rights, advance more slowly, weighed down by the multiplicity of legal systems and the difficulty of standardizing their underlying rights.

The fundamental debate is no longer whether this process will happen, but under what rules, at what pace and with what degree of concentration or openness. The question of technical and legal standards ceases to be a laboratory discussion and becomes a negotiation with very concrete commercial implications: who defines the format of the tokens, who operates the validation nodes, how disputes are resolved, and what principle of liability applies when a smart contract executes erroneously. These are questions that belong to the realm of governance, not of technological voluntarism.

None of this takes away from the change that has already taken place

That systemically important financial institutions are moving tokenized collateral in productive environments is a fact as dry as it is revealing. Barely three years ago, that same scenario would have been described as futuristic. Today it is not front-page news, and that low media profile is, in itself, an indicator of maturity: deep changes in market infrastructures do not usually happen amid applause, but in technical committee meetings, test protocols and legal opinions.

The tokenization of everything has ceased to be a theory because it no longer needs to convince anyone with narratives. It runs beneath the surface of the markets, sometimes imperceptibly, redefining how economic rights are packaged, transferred and held in custody. It is not a wave that will sweep everything away, but a tide that rises slowly and seeps into the cracks of a system that, despite its sophistication, continues to depend excessively on manual reconciliations, shortened business hours and chains of intermediation that make every process more expensive.Ā 

The path ahead is long, and triumphalism is out of place. But the point of no return has already been passed, and the foundations on which the next stretch is being built are no longer speculative; they are under construction.
