Sweden’s H100 Moves to Acquire Two Norwegian Bitcoin Treasuries in All‑Stock Deal

H100 Group, a company focused on technology and Bitcoin as a reserve asset, signed a letter of intent to acquire Norwegian private firms Moonshot and Never Say Die through an all-stock exchange, with no cash outlay. The structure is designed to preserve the sellers’ exposure to BTC and consolidate assets under a larger listed vehicle.

The two target companies hold approximately 2,450 BTC. Added to the 1,051 BTC H100 already holds, the transaction would bring its total holdings to 3,501 BTC, valued at around $239.7 million at current prices. That volume would make H100 the second-largest Bitcoin treasury company in Europe, behind only Germany’s Bitcoin Group, which holds 3,605 BTC.

The final agreement is expected by April 22. Its closing is projected to follow the company’s annual general meeting. Sander Andersen, chairman of H100, highlighted that the transaction would strengthen the company’s Bitcoin position in a capital-efficient manner and pledged future BTC purchases.

The company’s shares have fallen more than 26% so far in 2025 and over 74% in the past nine months, according to Yahoo Finance data, in line with the broad pressure facing BTC-based treasury vehicles in the current market.
