The transaction placed 7 million perpetual preferred shares in the institutional market. Each unit was acquired at a public offering price of $90, reflecting an initial discount against its stated $100 face value.
According to the terms of the official prospectus filed with the U.S. SEC, the shares carry a 15% annual cumulative dividend yield based on their stated liquidation preference. Due to the discounted purchase price, market analysts note that the effective yield for shareholders could approach 16.6% to 17% under current contractual terms.
Cash distributions are scheduled to occur on a recurring basis every business day, subject to formal board approval and the availability of operating funds.
To service this new financial obligation, the company structured a $157.5 million dividend reserve. This reserve represents 18 consecutive months of distributions for preferred stockholders.

Capital Structure and Treasury Reserves
In Strive’s capital stack and liquidation priority, the new SATS stock ranks junior to the preexisting preferred shares designated as SATA.
Matt Cole, the firm’s Chief Executive Officer, stated to the press that the SATA instrument was designed for price stability, whereas SATS stock focuses on income stream stability. Corporate filings indicate this tiered structure aims to strengthen the company’s overall solvency by segmenting investor risk profiles.
Strive reported aggregate holdings of 36,818 Bitcoins on its balance sheet as of its latest operational update. Between October 14 and October 16, 2026, the company’s treasury acquired an additional 1,223 BTC through a cash outlay estimated at $100 million.
The firm did not disclose the precise percentage of the $630 million in proceeds that will be allocated directly toward future spot crypto asset acquisitions.
Disclosures within the Form S-3 registration statement specify that net proceeds may be allocated across strategic Bitcoin reserve acquisitions, general corporate purposes, and funding the dividend reserve account. Market analysis reports emphasize that daily disbursement commitments place an ongoing obligation on treasury reserves that will rely on the entity’s ongoing liquidity.
Strive’s corporate schedule targets November 9, 2026, to begin dividend distributions to SATS shareholders, subject to ratification by its board of directors.
