Metaplanet confirmed that Capital Research and Management Company became its largest major shareholder after its voting-rights stake rose above 10%. In an official shareholder notice, the Tokyo-listed company said the change took effect on October 16 and was confirmed through a filing on October 23. Capital Research now holds 11.11% of Metaplanet’s voting rights, up from 9.32%. The ownership shift comes as Metaplanet continues building its Bitcoin strategy.
Capital Research Raises Metaplanet Stake Above 10%
The filing shows Capital Research holds 1,433,010 voting rights representing 143,301,084 shares, compared with 1,254,558 voting rights and 125,455,820 shares before the change. Crossing the 10% threshold formally made the investment adviser both a major shareholder and Metaplanet’s largest major shareholder. Metaplanet said it has not independently verified the beneficial ownership totals reported in the large-shareholding filing and excluded non-voting Class B preferred shares from the calculation.

The percentage change also reflects adjustments to Metaplanet’s voting-rights base. The company completed a treasury-share repurchase on October 14 through the Tokyo Stock Exchange’s ToSTNeT-3 system, reducing the denominator used for the ownership calculation. The higher percentage therefore reflects both Capital Research’s larger reported position and changes in Metaplanet’s outstanding voting base. The development arrives after Metaplanet sold 10,000 BTC and later bought 11,000 BTC in Q3, ending September with 44,000 BTC.
Metaplanet has continued using capital-market tools to expand and manage its Bitcoin-centered balance sheet. Its strategy increasingly emphasizes Bitcoin per share, financing efficiency and access to debt and equity markets rather than simply tracking BTC’s spot price. Capital Research’s larger stake deepens institutional exposure to a company whose corporate strategy is closely tied to Bitcoin accumulation and capital allocation. That model has also been examined through Metaplanet’s shift toward BTC Yield and per-share accretion.
The shareholder update does not itself alter Metaplanet’s Bitcoin holdings or confirm a new purchase. The company said there were no matters requiring special mention regarding its outlook. The filing is fundamentally an ownership disclosure, not a Bitcoin acquisition announcement or a change in treasury policy. It nevertheless arrives as Metaplanet extends its reach beyond Japan, including a planned U.S. Bitcoin treasury platform seeded with 2,100 BTC, linking shareholder concentration with a broader phase of corporate expansion.
