The Smarter Web Company said July 23 that it repaid its Smarter Convert instrument, held by TOBAM-related entities, about two weeks before maturity. By selling 177.8909127 bitcoin at an average price of $65,762, the company treated the disposal as a targeted financing exit, using the proceeds to cover the $11,698,540 repayment.
The sold bitcoin matched the full amount acquired using the instrument’s subscription proceeds. Although the agreement required at least 98% of those funds to be deployed into Bitcoin, Smarter Web had invested 100%, so the entire acquired position was used for repayment. The transaction also removed 7,718,551 potentially dilutive ordinary shares linked to the convertible structure.
Following the sale, Smarter Web holds 2,700 bitcoin. CEO Andrew Webley said the instrument strengthened the balance sheet while preserving flexibility during an early treasury phase, but the company no longer considers fiat- or Bitcoin-denominated convertibles the right capital solution currently. The next test is how capital allocation evolves around a still-active Bitcoin treasury strategy.
