TL;DR:

Strategy shareholders backed an amendment to the certificate of incorporation to authorize the daily accrual of dividends across four classes of Strategy preferred shares, following a 99.3% favorable vote during a special meeting held this Wednesday, October 28.
The measure covers the series issued under the tickers STRF, STRC, STRK, and STRD, allowing yields to accrue every calendar day of the year, including weekends and official holidays.
The company’s Executive Chairman, Michael Saylor, shared the preliminary results via his account on X, confirming near-unanimous backing from voting capital. According to regulatory filings submitted to the SEC, each calendar day will serve as a record date, with the corresponding payment settled on the immediately following business day.

The implementation schedule outlines two operational phases. The STRC series will be the first to complete the technical transition, establishing its first daily record date on November 1, with settlement scheduled for November 2. Meanwhile, the STRF, STRK, and STRD issuances will activate their daily schedules on January 1, executing their first disbursement on January 4 following the New Year holiday. Final implementation remains subject to filing the amended terms of each instrument with the competent authorities.

Market Settlement Mechanism and Volatility Management
Since traditional U.S. stock markets operate exclusively Monday through Friday, the practical settlement of accrued yields will require technical coordination with financial intermediaries.
The Depository Trust Company (DTC) will treat record dates falling on weekends or holidays as administratively falling on the preceding business day. As detailed by Strategy in its regulatory filing, Nasdaq will adopt that same preceding business day as the ex-dividend date for the respective securities.
An operational example documented by the company illustrates that dividends accrued across Friday, November 6; Saturday, November 7; and Sunday, November 8 will consolidate under the record date of Friday, November 6, and be transferred together on Monday, November 9.
Because spot market transactions settle on the next business day, an investor who buys STRC shares during Friday’s trading session will not be entitled to collect any of the cycle’s three accrued dividends. Conversely, anyone selling their shares that same Friday will retain the right to receive all three combined payments. The company clarified that operational handling may differ for positions traded off-Nasdaq or managed via specific brokerage platforms.
This structural change, initially proposed last month, aims to mitigate price volatility across the company’s preferred share issuances. For the STRC instrument, the shift represents moving from a regime of 24 record dates per year to a permanent schedule of 365 annual record dates.
Corporate management has carried out several financial moves to stabilize STRC’s trading price, which stood at $99.86 at the time of the report—trading slightly below its $100 par value, according to Yahoo Finance market records. Over the past week, Strategy paused its regular cadence of direct Bitcoin purchases for the first time since mid-September, instead deploying $204.9 million toward the direct repurchase of STRC shares on the open market.
The dividend restructuring also coincides with heightened scrutiny from global index providers. Financial firm MSCI formalized an update to its eligibility rules for the MSCI Global Investable Market Indexes on October 15, excluding non-operating companies or those whose balance sheets are dominated by a single treasury asset—a condition directly impacting Strategy as the world’s largest corporate holder of Bitcoin.
According to MSCI’s official timelines, the definitive list of corporations affected by this technical disqualification will be published on November 11.
