The transaction includes an initial consideration of £3 million in cash, £4 million in shares, and up to £5 million subject to future performance-based operational milestones.
The move sets an operational precedent against traditional debt-issuance models: Stack BTC seeks to channel cash flow from physical gold trading—which reported £52.1 million in annual revenue and £2.15 million in net profits—to finance recurring Bitcoin purchases without aggressively diluting its shareholders.
The agreement remains subject to due diligence audits, AQSE regulatory approval, and the re-admission of its shares to the British stock market.
